Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Services offered by Health Vista Analytics (“Company,” “we,” “us,” or “our”). By accessing or using our website or any of our Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1.Definitions

  • Services: Our hospital analytics platform, including dashboards, scoring (HSI and domain scores), AI-generated reports, benchmarking, and all related features.
  • Free Tier: Limited access requiring professional email registration (max 3 hospitals per session, state/national aggregates + summary scores only, no AI narratives or exports).
  • Paid Tiers (Pro, System, Enterprise): Subscription plans with expanded access as described on our Pricing page.
  • You / User: The individual or hospital/health system using the Services (must be 18+ and using a professional email).

2.Account Registration & Eligibility

You must register with a valid professional (non-personal) email address. Personal emails (Gmail, Yahoo, etc.) are not eligible. You represent that you are authorized to use the Services on behalf of your hospital or health system. You are responsible for maintaining the confidentiality of your account and password.

3.License & Use Restrictions

Subject to your compliance with these Terms and payment of applicable fees (for Paid Tiers), we grant you a limited, non-exclusive, non-transferable license to access and use the Services during the subscription term solely for your internal hospital or health-system financial and operational analysis.

You may not:

  • Access or use the Services beyond the limits of your tier (e.g., exceeding hospital-view limits).
  • Share login credentials or allow unauthorized users.
  • Reverse-engineer, copy, or build a competing product.
  • Use the Services for any unlawful purpose or to transmit harmful code.

4.Free Tier & Paid Subscriptions

  • Free Tier access is provided “as-is” with strict limits and may be modified or terminated at any time.
  • Paid subscriptions are billed annually (or monthly where offered) and auto-renew unless canceled. All fees are non-refundable except as required by law.
  • We may change pricing with notice; continued use after changes constitutes acceptance.

5.Intellectual Property

All content, dashboards, scoring algorithms, AI reports, and underlying CMS-derived data visualizations are owned by us or our licensors. You retain ownership of any data you upload (if applicable), but grant us a license to use it to provide the Services.

6.Data & Analytics

The Services analyze publicly available CMS HCRIS data only. We make no representations or warranties about the accuracy, completeness, or timeliness of CMS data or our derived insights. The Services are for informational purposes only and do not constitute financial, legal, or operational advice.

7.Termination

We may suspend or terminate your access at any time for breach of these Terms or non-payment. You may cancel your subscription via your account settings (Paid Tiers).

8.Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim (or $100 if you are on the Free Tier).

9.Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of laws principles.

10.Changes to Terms

We may update these Terms. Continued use after changes constitutes acceptance.
